AGCO Prices Common Stock Offering

DULUTH, Ga., Apr 1, 2004 (BUSINESS WIRE) -- AGCO Corporation (NYSE:AG), a worldwide designer, manufacturer and distributor of agricultural equipment, today announced that it has agreed to sell 12,800,000 shares of its common stock at a price of $21.35 per share in an underwritten public offering. AGCO has granted the underwriters an option to purchase up to 1,920,000 additional shares to cover over-allotments. The proceeds will be used to repay existing indebtedness.

Morgan Stanley & Co. Incorporated and Goldman, Sachs & Co. are acting as joint-bookrunners and lead underwriters for the offering. Bear, Stearns & Co. Inc., Rabo Securities USA, Inc., Tokyo-Mitsubishi International plc, SunTrust Capital Markets, Inc. and Natexis Bleichroeder Inc. are serving as co-managers for the offering.
